Dangote Refinery IPO Attracts Up to N8.61tn in Estimated Subscriptions as Offer Deadline Is Extended

Dangote Petroleum Refinery’s initial public offering (IPO) has reportedly attracted subscriptions several times above its original fundraising target, with a fourfold subscription of the offer value potentially translating to about N8.61tn.

President of Dangote Group, Aliko Dangote, disclosed on Monday that subscriptions had exceeded the amount the company originally intended to raise by more than three or four times. The refinery has also extended the closing date of its public share offer by two weeks to give more African investors an opportunity to participate.

However, the company has not disclosed the exact amount subscribed or confirmed that the fourfold subscription figure applies to the full value of the offer. The N8.61tn figure is therefore an estimate based on multiplying the offer value by four.

The IPO comprises 4.1 billion ordinary shares priced at N525 each, giving the offer a total value of approximately N2.1525tn if all the shares are subscribed. Applying a fourfold multiple to that value produces estimated subscriptions of N8.61tn.

Dangote Refinery Extends IPO to Attract More African Investors

In a statement issued by the Dangote Group on Monday, Dangote explained that the extension was not motivated by a need to raise additional funds but by the company’s ambition to broaden ownership of the refinery across Africa.

“The IPO is going very well. We will extend the closing date because we want more of our African brothers and sisters to participate,” Dangote said.

He added that discussions with the Nairobi Securities Exchange had helped identify a suitable approach to facilitate participation, with the company seeking to replicate the arrangement across other African exchanges.

According to Dangote, the level of subscriptions received has already surpassed the amount the company originally intended to raise several times over.

“But when it comes to the amount of money we originally intended to raise, we have already received subscriptions amounting to more than three or four times that figure. So, it is not about the amount of money. It is about the number of people who will have the opportunity to participate in this offer,” he said.

The comments suggest that the refinery’s priority is to expand investor participation rather than increase its fundraising target.

New Dangote Refinery IPO Closing Date

The public offer opened on September 14 and was initially scheduled to close on October 13. Following approval from the Securities and Exchange Commission (SEC), the closing date has been moved to October 27.

The additional two weeks are intended to support efforts to make the share offer accessible to more investors across African markets.

The company said it was exploring wider distribution channels and unsponsored depository receipt programmes to facilitate cross-border investment and improve access to the IPO.

The extension is also expected to give prospective investors more time to complete account-opening procedures, identity verification and other regulatory requirements necessary to participate in the offer.

Dangote Refinery CEO Explains Extension

David Bird, Managing Director and Chief Executive Officer of Dangote Petroleum Refinery and Petrochemicals FZE, said the extension would provide more investors across the continent with an opportunity to participate in the company’s future growth.

“We welcome the SEC’s approval of the extension, which will give more investors across Africa the opportunity to participate in the Offer,” Bird said.

He explained that the refinery’s ambition from the outset had been to enable as many people as possible to participate in the IPO and benefit from the company’s future growth.

Bird added that the additional time would help the company extend the opportunity to a broader pool of investors across Africa.

What Investors Need to Know About the Dangote Refinery IPO

The Dangote Petroleum Refinery public offer provides investors with an opportunity to acquire ordinary shares at N525 per share.

With 4.1 billion shares on offer, the total value of the IPO stands at approximately N2.1525tn, assuming full subscription of the shares offered.

Although Dangote’s comments indicate that subscriptions have significantly exceeded the company’s original fundraising target, the refinery has yet to publish an exact subscription figure confirming the reported scale of demand.

The estimated N8.61tn figure should therefore not be interpreted as an officially confirmed amount raised or a final subscription result.

The extension of the offer until October 27 is expected to give more investors time to complete the necessary registration and verification procedures, while supporting the company’s wider objective of increasing African participation in the refinery’s ownership.

As the offer remains open, further disclosures from the company and relevant market authorities will be important in establishing the final subscription level and the extent of investor participation.
